Agreement to Terms

By accessing or using Prep-Trax.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Description of Service

Prep-Trax.ai provides a cloud-based warehouse management and fulfillment platform. The Service includes inventory management, order processing, shipping integration, analytics, and related features.

Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old or have parental consent
  • Use the Service only for lawful purposes

You are responsible for all activities that occur under your account.

Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer or copy any features or functionality
  • Resell or redistribute the Service without permission

Subscription and Payment

The Service is provided on a subscription basis. By subscribing, you agree to:

  • Pay all fees associated with your subscription plan
  • Provide valid payment information
  • Authorize automatic recurring billing
  • Pay any applicable taxes

Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

Cancellation and Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent activity.

Data Ownership and Backup

You retain ownership of all data you upload to the Service. We do not claim any rights to your data.

While we perform regular backups, you are responsible for maintaining your own backup copies of your data. We are not liable for data loss.

Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Prep-Trax.ai and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREP-TRAX.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Prep-Trax.ai from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
